These Terms of Service ("Terms") govern your use of the hosted dialer, phone numbers, calling and related services ("Service") provided by [Company legal name] ("Cellotel", "we", "us"). By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Acceptable Use Policy.
1. The Service
Cellotel provides hosted instances of the open-source VICIdial contact-center software, agent seats, US telephone numbers (DIDs) and outbound/inbound calling through third-party carriers. Features may change over time.
2. Accounts
You are responsible for all activity under your account and logins, for keeping credentials confidential, and for the accuracy of the business information you provide. We may require identity and business verification ("KYC") before activating calling.
3. Fees and payment
Seat fees are billed monthly in advance; usage (minutes, numbers and any carrier surcharges) is billed in arrears or deducted from prepaid balance. Fees are non-refundable except where required by law. Unpaid accounts may be suspended.
4. Your responsibilities
You are solely responsible for the content of your calls, your lead data and your compliance with all applicable laws, including the TCPA, the Telemarketing Sales Rule, Do-Not-Call rules, state telemarketing and recording laws, and the Acceptable Use Policy.
5. Phone numbers
Numbers are assigned to you for use with the Service and remain subject to carrier rules. Numbers may be reclaimed after account termination or when required by a carrier or regulator.
6. Suspension and termination
Either party may terminate at the end of a billing period. We may suspend or terminate immediately for non-payment, AUP violations, legal or carrier requirements, or security risks.
7. Availability and support
We aim to keep the Service available and provide support by email, but the Service is provided "as is" and "as available" without warranties of any kind. Call delivery depends on third-party carriers and networks.
8. Limitation of liability
To the maximum extent permitted by law, our total liability is limited to the fees you paid us in the 3 months before the claim, and we are not liable for indirect, consequential or lost-profit damages.
9. Indemnity
You will defend and indemnify Cellotel against claims, fines and penalties arising from your calls, data or breach of these Terms or the AUP.
